President
As the President and Chair of the Board of Directors for the Virginia National Guard Association, your primary responsibility is to lead and direct the affairs of the organization in accordance with policies adopted by the membership. This includes convening the Board of Directors from time to time and appointing standing, special, and ad hoc committees as necessary, as well as designating a chair, co-chair, and/or vice chair.
In addition to these duties, you will also appoint special staff positions incidental to the conduct of the Board of Directors and appoint a representative to the Joint Leadership Council of Veterans Service Organizations. You will also appoint three representatives to the Virginia National Guard Management Group and issue the call of the annual meeting and conference of the membership, making the necessary arrangements for such conference.
As the President and Chair of the Board of Directors, you will serve as a non-voting member of the Virginia National Guard Ventures, Inc. Board of Directors and as an ex-officio member of all committees. You will also maintain the authority to execute micro-purchases in the amount of $500 without prior approval of the Board of Directors as may be necessary.
In addition to these responsibilities, you will be required to render an annual report to the association, commonly known as the “State of the Association.” You will also prepare and present the Committee on Finance with a proposed budget consisting of an itemized statement of estimated revenues and anticipated and proposed expenditures for the next fiscal year.
As the President and Chair of the Board of Directors, you will perform such other duties as are usually performed by the chair of the board of an organization and as may be prescribed by the by-laws or assigned by the Board of Directors. Your leadership and direction will be critical in supporting the Virginia National Guard and advocating for the needs of its members and their families.
Vice Presidents
As Vice Presidents and Vice Chairs of the Board of Directors for the Virginia National Guard Association, you will be responsible for performing the duties usually assigned to vice presidents of an organization. This includes supporting the President and Chair of the Board of Directors in directing the affairs of the association in accordance with policies adopted by the membership.
Additionally, as Vice Presidents and Vice Chairs, you will be assigned specific duties and responsibilities by the President and Chair of the Board of Directors, which may include tasks such as overseeing committees or projects, coordinating with other organizations or stakeholders, and assisting with membership recruitment and retention efforts.
Your role as Vice Presidents and Vice Chairs also requires you to perform any additional duties and exercise any additional powers that are specifically granted in, or required by, the by-laws of the association. This may include serving as a liaison with other organizations, providing input on policy decisions, and advocating for the needs and interests of the National Guard community.
As members of the Board of Directors, you will play a critical role in shaping the direction and priorities of the Virginia National Guard Association. Your dedication, expertise, and leadership will be essential in ensuring that the organization continues to fulfill its mission of supporting and advocating for the Virginia National Guard and their families.
Treasurer
As the Treasurer of the Virginia National Guard Association, you will play a critical role in ensuring the financial health and stability of the organization. Specifically, you will:
(a) Be the custodian of all funds of the association, which means that you will be responsible for safeguarding the association’s financial assets and ensuring that they are used in accordance with the organization’s mission and by-laws.
(b) Be an ex-officio member of the Committee on Finance, which means that you will work closely with other members of the Committee to develop and implement financial policies and procedures, monitor the financial health of the organization, and ensure that financial transactions are conducted in an ethical and transparent manner.
(c) Cause a receipt to be issued for all funds received by the association, which means that you will ensure that all funds received by the association are properly recorded and documented.
(d) Cause to be kept an accurate account of all receipts and disbursements of all monies, securities, and other property of the association; report to the Committee on Finance and the Board of Directors on the financial standing of the association, whenever required to do so; and render an annual report to the association. This means that you will keep accurate records of all financial transactions, monitor the financial performance of the association, and provide regular reports to the Committee on Finance, the Board of Directors, and the membership.
(e) Perform the duties usually performed by the treasurer of an organization and such duties as may be assigned by the President and Chair of the Board of Directors. This means that you will be responsible for a range of financial activities, including managing bank accounts, reconciling bank statements, preparing financial reports, and overseeing the work of any staff or volunteers who are involved in financial activities. You will also work closely with other members of the Board of Directors and the Committee on Finance to develop and implement financial policies and procedures that ensure the financial health and sustainability of the organization.
Secretary
As the recording officer of the Virginia National Guard Association, the Secretary holds a crucial role in maintaining the records and documentation of the organization. They are responsible for accurately recording the minutes of meetings and making them available to members of the association. They also maintain the official roster of members and keep a record of all correspondence and communications received and sent by the association.
In addition to their duties as a recording officer, the Secretary also performs the duties usually performed by the secretary of an organization as assigned by the President and Chair of the Board of Directors. This may include coordinating with other officers and committees, assisting with the organization of events and conferences, and ensuring that the association operates in accordance with its bylaws and policies.
